MySCORE is a platform (hereinafter also referred to as the “Platform”) owned by Rexilience S.r.l., with its registered office at Corso Venezia, 54 – 20121, Milan, VAT No. IT12011490963, represented by its current legal representative (“Rexilience”).
These terms and conditions of use (“Terms and Conditions”) govern access to and use of the Platform by each user (meaning a natural person or legal entity; hereinafter “User”).
1.1 MySCORE is a service provided on a SaaS (Software as a Service) basis for the assessment of cyber risk in private and/or public entities (the “Targets”). The User is able to assess the security posture of one or more Targets and, where appropriate, monitor changes in that assessment over a defined period of time.
1.2 The mySCORE service generates a summary risk indicator (the score), a report and information sheets containing guidance.
1.3 The Service may be used and the necessary data entered interactively via the Service’s user interface. The results of the assessment can be viewed interactively on the Platform and may be made available, in whole or in part, for download from the Platform in suitable formats.
1.4 The solution comprises three stages:
1.5 The results of the assessment are available on the Platform in an interactive format; it is also possible to download a PDF report containing full details of the identified risk factors, together with the relevant recommendations for resolution.
1.6 The Platform may also provide the service via API provided that a specific agreement has been entered into.
2.1 By using the Platform and its content, the User agrees, without limitation or reservation, to these Terms and Conditions and acknowledges that they have read the Privacy Policy, both of which are accessible within the application.
2.2 The internet access required to use the Platform and all associated charges and costs, including connection charges, are the responsibility of the User, who is required to obtain any necessary hardware or software independently.
2.3 The User is solely responsible for the operation and maintenance of their own equipment and for taking all necessary measures to ensure their online security.
2.4 Should Rexilience, in its sole discretion, consider that the User is using the Platform and its content unlawfully and/or without authorisation and/or in breach of these Terms and Conditions of Use, Rexilience reserves the right to take any action, whether judicial or otherwise, to protect its rights, including the suspension or termination of the Service.
3.1 Access to and/or use of certain content and/or areas of the Platform may be subject to specific rules that supplement these Terms and Conditions (“Supplementary Rules”). In the event of any conflict between the provisions of these Terms and Conditions and the Supplementary Rules, the provisions of the latter shall prevail.
4.1 The Service and the materials made available on the platform, such as, for example, questionnaires, texts, documents, photographs, graphics, illustrations and videos (“Materials”), may be used solely for personal, informational and non-commercial purposes.
4.2 Any modification and/or alteration of the Service and the Materials, as well as their redistribution, is prohibited.
4.3 Subject to the foregoing, the User may view on their electronic device, download, save and print the Materials made available on the Platform for download.
5.1 The Platform and its contents, including, but not limited to, the graphics, functionalities, layouts, flowcharts, the so-called ‘look and feel’, the databases that enable its operation, and the Materials made available through it, are protected by current intellectual and industrial property legislation and are the exclusive property of Rexilience.
5.2 Access to the platform’s content and the materials made available on it, and, in general, their use by Users, does not confer upon them or any third party any intellectual and/or industrial property rights in respect of such content or materials.
5.3 The User undertakes not to infringe or interfere with the aforementioned rights and not to engage in any conduct that infringes the intellectual and/or industrial property rights of Rexilience and/or third parties.
5.4 The User shall not, by way of example and without limitation, modify, copy, distribute, transmit, reproduce, publish, licence, create derivative works, transfer, adapt, sell, share online, or disseminate the content made available on the platform, nor shall they facilitate any of the aforementioned acts. The User shall be liable for any infringement of the intellectual and/or industrial property rights of Rexilience and/or third parties in accordance with the provisions of applicable legislation.
5.5 Rexilience reserves the right to take all appropriate action against Users and/or third parties in respect of any attempts to use the platform and its content, as well as any Materials made available through it, in a manner that contravenes these Terms and Conditions of Use.
6.1 To use the Service, the User must register on the Platform using their login credentials.
6.2 All expressions of intent, acts and actions having legal and economic consequences carried out by the User on the Platform shall be attributed to the User beyond doubt. The User is therefore responsible for keeping their login and access credentials for their Account confidential and undertakes to use them personally and exclusively on their own devices.
6.3 The User undertakes to notify Rexilience immediately of any unauthorised use of their authentication and access credentials and of any other incident that compromises their security. Rexilience shall not, however, be held liable for any damage caused by the use of the credentials by third parties, whether or not authorised by the User and regardless of whether the User is aware of such use. In any event, the User shall be held liable for any losses and/or damages suffered by Rexilience and/or third parties as a result of the use of their Credentials by another party.
6.4 The User may choose to deactivate their Account at any time by sending an email to the address privacy@rexilience.eu or via any additional methods made available from time to time on the Platform.
6.5 Upon receipt of the request to deactivate the Account, Rexilience will deactivate it within five (5) working days and notify the User accordingly.
7.1 With regard to the protection of personal data and our cookie policy, users are invited to consult our Privacy Policy. .
8.1 The User undertakes not to (i) access or use the Platform and its content in any way that may damage, disable, overload or compromise Rexilience’s accounts, computer systems or networks; (ii) attempt to gain unauthorised access to any part of the Platform or to any Rexilience account, computer system or network; (iii) interfere with or attempt to interfere with the proper functioning of the Platform or any Rexilience account, computer system or network; (iv) use robots, spiders, scrapers or other automated means to access the Platform or any Rexilience account, computer system or network without the express written authorisation of Rexilience.
9.1 Rexilience makes no representations or warranties, nor does it make any promises (whether express or implied) in relation to the Platform or its content.
9.2 The User uses the Platform “as is”, that is, as it is provided and as it is available at the time the User connects to it and views its content. Rexilience accepts no liability arising from reliance on the content of the Platform and the Materials made available thereon, whether posted by the User or by third parties.
9.3 By way of example and without limitation, Rexilience does not guarantee that: (i) the Service, the content of the Platform and the Materials made available thereon will meet the User’s requirements; (ii) the Service will be available on an uninterrupted, timely, secure or error-free basis; (iii) the results that may be obtained from the use of the Service, the content or the Materials provided on or through the Platform are accurate or reliable.
9.4 Rexilience shall not be liable for any damage to the User’s computer systems or loss of data arising from the downloading or use of the content.
9.5 Rexilience shall not be liable to the User, or to any parties directly or indirectly connected to the User, for any damages, claims or losses arising from disruptions or suspensions of the Platform and the related Services due to causes not directly attributable to and/or connected with its activities. By way of example and without limitation, Rexilience shall not be liable for any (i) incorrect or non-compliant use of the Platform or the Services made available to users, including the entry of false or inaccurate data when completing the questionnaire; (ii) connectivity issues and interruptions in the internet connection available to Users; (iii) problems arising from the devices used by Users, their characteristics and/or due to any faults in such devices; and (iv) compatibility issues between the devices used by Users and the technical specifications of the Platform.
9.6 Without prejudice to the provisions of section 9.5, Rexilience shall in no event be held liable for any failure to fulfil its obligations due to unforeseeable circumstances or force majeure, including, but not limited to, actions by public authorities, floods, accidents, telecommunications disruptions or faults, lightning strikes, equipment failures not attributable to Rexilience, power cuts or power surges, faults or interruptions in telephone lines attributable to the activities of the operator (or concessionaire) of such lines, as well as interruptions or suspensions not attributable to or otherwise beyond the control of Rexilience or arising from third parties.
9.7 Under no circumstances – including, by way of example and to the extent permitted by law, negligence – shall Rexilience and/or any of its affiliates, successors, assigns, employees, agents, directors, officers and shareholders be liable for any direct, indirect, incidental, special or consequential loss or damage arising from, or otherwise connected with, the use of the Platform or the use of the content and Materials made available on it.
9.8 The User assumes full responsibility for the truthfulness and accuracy of the data and information provided, either directly or on behalf of third parties, whilst using the Service, and warrants that such data and information are lawfully at their disposal, do not contravene mandatory legal provisions, and do not infringe any copyright, trade mark, patent or other rights of third parties.
9.9 The User therefore expressly accepts that any decision or action taken whilst using the Service is at their sole discretion and risk.
9.10 In view of the foregoing, the User undertakes to indemnify and hold Rexilience harmless from and against all damages, losses and expenses of any kind (including legal fees and costs) claimed against it in relation to the provisions of sections 9.8 and 9.9 above.
10.1 The User may request support from Rexilience via the customer support service by sending an email to: score@rexilience.eu. Rexilience will respond to the User as soon as possible.
11.1 Any changes to these Terms and Conditions will be communicated to the User and will take effect immediately. The User may choose to confirm or withdraw their consent. A copy of the most up-to-date version of these Terms and Conditions is always available on the Platform.
11.2 Should any provision of these Terms and Conditions be declared null and void or unenforceable by a competent authority, the Terms and Conditions shall remain in full force and effect in respect of the provisions not affected by such clause, unless that clause constituted an essential and decisive factor in the conclusion of the contractual relationship.
11.3 The fact that Rexilience does not at any time enforce the rights granted to it by one or more clauses of these Terms and Conditions shall not be construed as a waiver of such rights nor shall it prevent Rexilience from subsequently demanding compliance with any and all contractual clauses.
12.1 These Terms and Conditions shall be governed by and construed in accordance with Italian law.
12.2 Any dispute arising out of or in connection with these Terms and Conditions shall be subject to the exclusive jurisdiction of the Court of Milan.
